Scope Boundaries (Who/What it applies to)
This template governs the identification, logging, notification, and rectification of defects discovered during the post-construction warranty period. It applies directly to Owners, Property Managers, General Contractors, and Subcontractors operating under commercial construction contracts in Ontario. The scope encompasses all architectural, structural, mechanical, electrical, and civil components. It establishes the exact administrative boundary between patent deficiencies (captured at substantial performance) and latent defects discovered during the warranty term, mitigating the risk of unauthorized backcharges and disputed warranty start dates.
Mandatory Deliverables & Administrative Windows
To maintain contract compliance and preserve statutory rights, parties must execute the following deliverables within the specified administrative windows:
- Warranty Commencement Record: Established upon the publication of the Certificate of Substantial Performance (Form 9) or agreed occupancy date.
- Defect Notification: Issued to the contractor within 5 business days of defect identification, detailing the location, severity, and affected systems.
- Contractor Response Window: The contractor must acknowledge receipt within 48 hours and provide a scheduled rectification plan.
- Emergency Rectification: Immediate 2-hour response required for life-safety, structural integrity, or active water ingress issues.
- Standard Rectification Window: Non-emergency defects must be resolved within 10 business days of written notification, unless long-lead replacement parts dictate otherwise.
- Closeout Clearance Certificate: Signed by the prime consultant and owner upon successful completion of the warranty period, releasing the contractor from further routine maintenance obligations.
Ontario Regulatory Compliance Notes
This template operates under the CCDC Warranty Administration framework and must comply with the Ontario Construction Act, including the strict prompt payment and holdback release rules.
- Proper Invoice Deeming: Invoices submitted for warranty-related repairs or final closeout payments are legally deemed proper unless the owner delivers a formal written notice of deficiency to the contractor within 7 days of receipt. Failure to issue this notice within 7 days forfeits the owner's right to dispute the invoice's structure and immediately triggers the 28-day statutory payment timeline.
- Annual Holdback Release (Form 6): For multi-year projects, owners must publish a Notice of Annual Release of Holdback (Form 6) on an electronic construction trade news website within 14 days after each contract anniversary. Payment of the accrued basic holdback must be executed between day 60 and day 74 following publication, provided no liens have been preserved.
- Holdback Retention Restrictions: The former section 27.1 notice-of-non-payment mechanism used to refuse holdback distribution due to outstanding warranty work or minor deficiencies is repealed. Holdback funds cannot be withheld for simple warranty claims; they may only be retained in cases of formal contract abandonment, termination, or preserved lien risk.
- Interim Adjudication Window: If a dispute arises regarding warranty obligations, backcharge exposure, or payment for rectified work, parties have a strict 90-day window after contract completion, abandonment, or termination to initiate interim binding adjudication through ODACC or a qualified private adjudicator.
Form/Sign-off Requirements
- Claim Initiation Sign-off: Signed and dated by the Owner's Representative or Property Manager to establish the official claim date.
- Contractor Receipt Acknowledgement: Signed by the General Contractor's Project Manager to confirm receipt and initiate the subcontractor notification process.
- Subcontractor Work Authorization: Signed by the designated trade subcontractor prior to commencing warranty work on site.
- Field Verification Sign-off: Signed by the Owner's site representative and the contractor's foreman immediately upon physical completion and testing of the repair.
- Consultant Sign-off: Signed by the Prime Consultant (Architect/Engineer) for complex structural or mechanical warranty items to verify compliance with design specifications.
- Record Retention: All completed logs, photographic evidence, and signed clearance certificates must be archived for a minimum of 7 years post-project completion to defend against future latent defect claims.
