Scope Boundaries (Who/What it applies to)
This checklist establishes the mandatory administrative and technical boundaries for compiling, verifying, and submitting the final project closeout binder. It applies directly to General Contractors, Project Coordinators, and prime subcontractors operating under commercial construction contracts in Ontario. The scope encompasses all physical and digital turnover assets, including verified as-built drawings, operation and maintenance (O&M) manuals, municipal inspection certificates, architectural/engineering sign-offs, and statutory declarations. By defining clear boundaries, this template mitigates the risk of delayed holdback release, unresolved warranty liabilities, and incomplete system handovers to the owner.
Mandatory Deliverables & Administrative Windows
- Pre-Substantial Performance Window (30 Days Prior): Draft O&M manual submission, preliminary as-built redlines, and attic stock inventory list.
- Substantial Performance Window (Within 5 Days of Certification): Publication of Certificate of Substantial Performance (Form 9) in a construction trade newspaper; submission of updated WSIB clearance certificates and Form MTR-1 (Statutory Declaration).
- Post-Substantial Performance Window (Within 15 Days): Final verified as-built drawings (CAD/BIM and PDF), balancing reports, ESA certificates, and TSSA authorizations.
- Final Closeout Window (Within 60 Days): Final occupancy permit, comprehensive warranty certificates (minimum 1-year standard or extended trade warranties), and final application for payment.
Ontario Regulatory Compliance Notes
This checklist is governed by the Ontario Construction Act and CCDC Closeout Standards. To ensure compliance with the January 1, 2026 amendments (Bill 216 and Bill 60), the following statutory controls must be integrated into the closeout and payment workflow:
- Proper Invoice Verification: Invoices submitted during closeout are legally deemed proper unless the owner delivers a formal written notice of deficiency within 7 days of receipt. Missing this 7-day window forfeits the owner's right to dispute invoice structure and triggers the 28-day prompt-payment timeline.
- Annual Holdback Release (Form 6): For contracts extending beyond one year, owners must publish a Notice of Annual Release of Holdback (Form 6) on an electronic construction trade news website within 14 days after each contract anniversary. Payment of the accrued basic holdback must occur no earlier than day 60 and no later than day 74 after publication, provided no liens are preserved.
- Holdback Refusal Restrictions: The former section 27.1 notice-of-non-payment mechanism for refusing holdback distribution due to deficient or incomplete work is repealed. Holdback withholding is strictly restricted to formal contract abandonment, termination scenarios, or preserved lien risk.
- Interim Binding Adjudication: Parties have a strict 90-day window after contract completion, abandonment, or termination to initiate interim binding adjudication through ODACC or a qualified private adjudicator to resolve closeout or payment disputes.
Form/Sign-off Requirements
- Project Coordinator Sign-off: Verification of binder completeness, indexing, and digital hyperlink functionality.
- General Contractor Executive Sign-off: Formal execution of the closeout checklist, confirming all subcontractor closeout packages are integrated.
- Consultant/Architect Review: Written acceptance of as-built records and O&M manuals as meeting contract specifications.
- Statutory Declaration (Form MTR-1): Solemn declaration signed by a Commissioner of Oaths, confirming all subcontractors and suppliers have been paid.
- Record Retention: All closeout documentation, including proof of Form 9 and Form 6 publications, must be retained for a minimum of 7 years.
