Scope Boundaries (Who/What it applies to)

This template establishes the safety, liability, and administrative boundaries between the General Contractor (designated as the "Constructor" under the OHSA) and all hired subcontractors performing work on commercial construction projects in Ontario. It applies directly to all on-site personnel, equipment operations, and safety protocols. The scope is designed to mitigate vicarious liability risks by verifying the subcontractor's independent employer status under the Workplace Safety and Insurance Board (WSIB) and ensuring strict adherence to the project's Site-Specific Safety Plan (SSSP). It does not transfer the Constructor's non-delegable statutory duties under the OHSA but contractually enforces the subcontractor's duty of care and indemnity.

Mandatory Deliverables & Administrative Windows

  • Pre-Mobilization Clearance: Subcontractors must submit a valid WSIB Clearance Certificate and a completed Ministry of Labour Form 1000 (Registration of Constructors and Employers) at least 5 business days prior to arriving on site.
  • WSIB Status Maintenance: Updated WSIB Clearance Certificates must be automatically submitted every 90 days throughout the duration of the contract.
  • Incident Notification: Any workplace injury, near-miss, or safety infraction must be reported in writing to the Constructor within 24 hours, or immediately in the case of a critical injury as defined by the OHSA.
  • Daily Safety Logs: Subcontractors must submit daily pre-start hazard assessments and weekly toolbox talk attendance logs prior to the release of progress payments.
  • Closeout Clearance: A final WSIB Clearance Certificate and a statutory declaration confirming all health and safety levies have been paid must be delivered before the release of final holdback.

Ontario Regulatory Compliance Notes

Under the OHSA, the General Contractor as the Constructor retains ultimate responsibility for project safety. This waiver establishes that the subcontractor is an independent employer responsible for its own workers' safety training, personal protective equipment (PPE), and regulatory compliance.

To align with the January 1, 2026 Ontario Construction Act amendments, the administration of this waiver and associated payment controls must adhere to the following statutory frameworks:

  • Invoices are legally deemed proper unless the owner gives a formal written notice of deficiency within 7 days after receiving the invoice. Missing the 7-day notice window forfeits the right to dispute invoice form or structure and starts the 28-day prompt-payment timeline.
  • For contracts extending beyond one year, owners must publish a Notice of Annual Release of Holdback (Form 6) on an electronic construction trade news website within 14 days after each contract anniversary. Payment of the accrued basic holdback must occur no earlier than day 60 and no later than day 74 after publication, provided no liens are preserved.
  • The former section 27.1 notice-of-non-payment mechanism for refusing holdback distribution due to deficient or incomplete work is repealed. Holdback use is restricted to formal contract abandonment or termination scenarios and preserved lien risk.
  • Parties have a strict 90-day window after contract completion, abandonment, or termination to initiate interim binding adjudication through ODACC or a qualified private adjudicator.

Form/Sign-off Requirements

  • Authorized Signatures: Wet or verified electronic signatures from an officer of both the General Contractor and the Subcontractor.
  • Page Initials: Subcontractor initials required on every page of the waiver and the attached SSSP.
  • Mandatory Attachments: Current WSIB Clearance Certificate, Certificate of Recognition (COR) or equivalent safety program certification, and proof of Commercial General Liability (CGL) insurance (minimum $5,000,000) naming the Constructor as an additional insured.
  • Change-Order Safety Acknowledgement: Written sign-off from the subcontractor's safety representative acknowledging that any approved change orders do not compromise the safety protocols established in this waiver.
  • Record Retention: All signed waivers, safety logs, and clearance certificates must be retained in the project database for a minimum of 7 years post-completion.
